1. Services

Memphis Web Solutions LLC (“MWS”, “we”, “us”) provides AI automation, web design, SMS/voice receptionist systems, and related digital services to local businesses. Services are delivered under individual service agreements or on a month-to-month basis as described at the time of engagement.

2. Use of Our Website

You agree to use memphiswebsolutions.com and related MWS properties only for lawful purposes. You may not use our site to transmit spam, engage in fraudulent activity, or interfere with our services or systems.

3. SMS Messaging Terms

By providing your mobile phone number and opting in to SMS communications, you agree to receive text messages from Memphis Web Solutions LLC. These messages may include:

• Service notifications and AI receptionist activity updates
• Appointment coordination and follow-up communications
• Customer care and support responses related to your active MWS services

Message frequency: Varies based on your service activity — typically 1–10 messages per day for clients with active AI receptionist services.

Message and data rates may apply depending on your mobile carrier plan.

To opt out: Reply STOP at any time to unsubscribe from SMS messages. You will receive one confirmation message and no further texts.

Carriers are not liable for delayed or undelivered messages. SMS opt-in data, including phone numbers and consent, will not be sold, shared, or transferred to third parties for marketing purposes.

4. Payment Terms

Fees for MWS services are agreed upon in advance. Invoices are due upon receipt unless otherwise specified. MWS reserves the right to suspend services on accounts that are more than 30 days past due.

5. Intellectual Property

All content, code, designs, and materials created by MWS for your account remain the property of MWS until payment is received in full, at which point ownership transfers to you as specified in your service agreement. MWS retains the right to display completed work in its portfolio.

6. Limitation of Liability

Memphis Web Solutions LLC provides services “as is.” We are not liable for indirect, incidental, or consequential damages arising from use of our services, including but not limited to lost revenue, lost data, or business interruption. Our total liability is limited to the amount paid for the specific service giving rise to the claim in the 30 days prior to the incident.

7. Termination

Either party may terminate services with 30 days written notice. MWS may terminate immediately in cases of non-payment, misuse, or violation of these terms. Upon termination, client retains ownership of all paid-for deliverables.

8. Governing Law

These Terms are governed by the laws of the State of Tennessee. Any disputes shall be resolved in Shelby County, Tennessee.

9. Changes to These Terms

MWS may update these Terms from time to time. The effective date at the top of this page reflects the most recent revision. Continued use of our services after an update constitutes acceptance of the revised Terms.
